1. Acceptance of Terms
By accessing or using the Platform, you:

2. Platform Overview
ProviderGate connects customers (“Customers”) with service providers (“Providers”). Customers can submit service requests, and Providers can respond with quotes or offers. The Platform facilitates connections but does not directly provide the services listed.
3. Account Registration
3.1 Eligibility
You must create an account to access certain features of the Platform. By creating an account, you represent that:
- All information you provide is accurate and up-to-date.
- You will keep your account credentials secure and confidential.
3.2 Account Responsibilities
You are responsible for:
- All activity under your account.
- Notifying us immediately of unauthorized use or security breaches.
- Ensuring that your account complies with these Terms.
4. Fees and Payments
4.1 For Customers
Customers may use the Platform free of charge to submit service requests. Additional fees may apply for specific services, which will be disclosed before use.
4.2 For Providers
Providers may be required to purchase leads, pay subscription fees, or pay for featured listings. All fees are non-refundable unless otherwise stated.
4.3 Payment Processing
Payments are processed through third-party providers. By using the Platform, you agree to the terms and conditions of these payment processors.
5. User Conduct
When using the Platform, you agree not to:
- Violate any laws or regulations.
- Submit false, misleading, or fraudulent information.
- Engage in harassment, discrimination, or abusive behavior.
- Post or transmit content that is offensive, defamatory, or violates the rights of others.
- Use automated tools to scrape or access the Platform.
- Attempt to interfere with the Platform’s security or functionality.
6. Role of SIGMASPAN INC.
6.1 Independent Parties
SIGMASPAN INC. does not provide the services listed on the Platform. All contracts for services are between Customers and Providers.
6.2 No Guarantee
We do not guarantee the quality, suitability, or legality of services provided by Providers or the accuracy of information submitted by Customers.
7. Dispute Resolution
7.1 Between Users
Any disputes between Customers and Providers must be resolved directly between the parties. SIGMASPAN INC. is not responsible for mediating disputes.
7.2 With SIGMASPAN INC. For disputes involving SIGMASPAN INC., please contact us at contact@providergate.com. Any unresolved disputes will be subject to the laws and jurisdiction described in Section 12.
8. Intellectual Property
8.1 Ownership
All content, trademarks, and materials on the Platform are the property of SIGMASPAN INC. or its licensors. You may not use, copy, or distribute these materials without our prior written consent.
8.2 User Content
By submitting content to the Platform, you grant SIGMASPAN INC. a non-exclusive, royalty-free license to use, modify, and display your content as necessary to operate the Platform.
9. Termination
We may suspend or terminate your access to the Platform at our discretion, including for violations of these Terms. You may terminate your account at any time by contacting us.
10. Limitation of Liability
To the fullest extent permitted by law, SIGMASPAN INC. is not liable for:
- Indirect, incidental, or consequential damages.
- Losses resulting from the actions of Customers or Providers.
- Errors, interruptions, or security breaches on the Platform.
Our total liability is limited to the fees you paid to us in the 12 months preceding the claim.
11. Indemnification
You agree to indemnify and hold SIGMASPAN INC. harmless from claims, damages, and expenses arising out of your use of the Platform or your violation of these Terms.
12. Governing Law and Jurisdiction
These Terms are governed by the laws of the Province of British Columbia, Canada. Any disputes will be subject to the exclusive jurisdiction of the courts located in Vancouver, British Columbia.
13. Changes to These Terms
We may update these Terms from time to time. Changes will be effective when posted on the Platform. Your continued use of the Platform signifies your acceptance of the updated Terms.
